The Contract Administrator will report to the VP of Finance and will be located in San Jose, CA. The position will be responsible for contracts management in all areas of research, development, negotiation, implementation, and execution of contract agreements. This includes supplier / vendor agreements, software development agreements and software license agreements that govern our end-customers’ licensed use of our software products. Additionally, the Contract Administrator will be the point of contact for contract documentation compliance in a wide array of business processes. This position requires the ability to work cross-functionally as the Contract Administrator will need to understand the development and execution of our business agreements across the different organizations, including sales, finance, operations, legal, and program management.
Support VP of Finance with contract terms and conditions development and internal / external customer negotiations and support.
Provide contracting expertise including new, creative solutions to develop complex, creative business solutions for new and follow-on business.
Represent the company as part of the Contracts organization
Draft, review, and/or negotiate Proprietary Information Agreements (PIAs), sales agreements, vendor agreements, license agreements and other agreements necessary to meet organizational objectives.
Research and provide actionable recommendations in order to adhere to internal and contractual policies and procedures.
Advise senior leadership for the organization on policies, plans and objectives.
Maintain and enhance effective working relationships with internal and external stakeholders.
Provide guidance on proposal development, contract negotiations, and implementation of contract negotiation strategies.
Comfortable working in a fast-paced environment with a broad range of contractual responsibilities.
Assist, manage, and negotiate with internal and external parties where appropriate on a variety of tasks, projects, and processes.
Excellent organizational skills including document control and document storage understanding for all contractual matters of the company. Act as the compliance focal for all contractual records.
Attention to detail as it relates to unique and pro-forma contractual terms and conditions as well as macro-level view of business strategy and customer acquisition and execution from contractual perspective.
Proven track record and ability to operate independently as well as collaborate with various teams across the organization including Finance, Business Development / Sales, Supplier Management, and our external Legal firms.
Experience in drafting / reviewing contracts, within both large and small companies to include:
Direct Commercial Sales / Uniform commercial code contracts as well as experience with U.S. DoD contracts (specifically FAR 12 and FAR 15 and possibly CRADA and Other Transaction Authority (OTA) contracting types)
Experience with international commercial contracts or international defense customer contracts
Drafting and negotiating Proprietary Information Agreements (PIAs)
Drafting and negotiating Supplier terms and conditions contracts that result in Purchase Orders for our product’s supply chain
Drafting and negotiating software license agreements
Detailed understanding of Intellectual Property issues / protections and experience with broad array of IP contractual issues
Bachelor’s Degree required, with a 4-5 years of relevant work experience. JD or MBA is a plus.
Must have at least three years’ experience drafting and negotiating contracts.
Must have experience leading proposals, contract terms and conditions development, and negotiation efforts.
Experience working with defense contracts and the U.S. DoD is a plus.
Experience with software export laws and regulations is a plus.
