The Contracts Manager supports and reports to the Vice President and General Counsel of Vogt Power International Inc. ("VPI"). The job responsibilities of this position include review, negotiation, and drafting of contracts to ensure adequate protection and assurance that contracts are reasonable and in compliance with corporate risk standards.
The Contracts Manager serves as a core member of the Law Department, with responsibility for review, negotiation, drafting and interpretation of terms and conditions of VPI proposals and contracts. The Contracts Manager also will review, negotiate, and draft terms and conditions of various forms of agreements, provide support to the Supply Management Department, and perform other job duties to support the Law Department as needed.
Serve as liaison between Law Department and managers in the various VPI departments and functions.
Review, negotiate, and draft terms and conditions for bid proposals, customers sales agreements, contract amendments, change orders, confidentiality agreements, and other forms of agreements.
Support VPI with the review, negotiation and drafting of terms and conditions for various forms of contracts.
Negotiate contracts to achieve the best possible compliance with corporate risk standards including evaluation of risks presented by the work in question.
Recognize and properly evaluate project-specific risks and work closely with various VPI representatives and VPI's General Counsel to mitigate such risks.
Provide advice to the VPI departments and functions regarding contractual and commercial implications of potential strategies and decisions.
Understand and apply legal principles for various forms of proposals, agreements, change orders, and document preparation, with attorney support as required.
Extensive knowledge and understanding of various commercial terms and conditions, including legal and commercial implications.
Extensive knowledge of power generations industry and/or construction industry practices and legal standards.
Able to process high volume of work, prioritize tasks, and maintain superior attention to detail and quality.
Able to communicate effectively by written and verbal means.
Able to work well independently and work effectively in group setting.
Appreciation of and professional maturity to maintain confidentiality of sensitive company information.
Minimum of 7 years of experience in contact administration involving legal issues and negotiation.
Minimum of 5 years of experience in power generation industry preferred.
